Why we publish these templates

Founders preparing an Algerian company almost always start with the same question: what does the document actually look like, what sections does it contain, and what will I have to decide before I sit down with a notary. Without that visibility the first appointment is spent discovering the questions instead of answering them.

So we publish the core documents of the incorporation path as editable Word files, free, with no sign-up and no email address requested. They exist to help you prepare, understand and agree with your co-founders. They do not replace the professional who will draft the deed.

Every file carries the same footer: free template provided by UpGrowth, to be validated by your notary. That is the rule, not a formality.

The files are in French, and that is deliberate

Company deeds in Algeria are drafted in French or Arabic before a notary. An English set of articles of association would carry no weight at the CNRC counter or in a notary's office, so translating the files would actively mislead you.

This page therefore explains each document in English: what it is, which clauses matter, where founders get it wrong and when a notary is mandatory. The file you download stays in French so it can be used as is.

How to use them without creating problems

  • Open the file in Word, LibreOffice or Google Docs. Every field to complete sits between square brackets and is highlighted, for example [DENOMINATION] or [MONTANT DU CAPITAL].
  • Start with the data that repeats across documents: the company name exactly as it appears on the negative certificate, the registered address, the share capital and the identity of each partner.
  • Delete the clauses that do not fit your situation and renumber what remains. An empty or contradictory article costs more time than a missing one.
  • Check that the figures reconcile: stated capital, number of shares multiplied by nominal value, and the sum of contributions must all give the same number.
  • Send the completed draft to your notary before the appointment. That is the best possible use of these templates.

What a template cannot do

Articles of association of an Algerian commercial company are executed as a notarial deed. A document drafted alone, printed and signed between partners does not create a company and will not be accepted when the registration file is filed. This is the most expensive mistake we see, because it surfaces late, at the counter.

A template also knows nothing about your situation. It cannot tell whether your activity needs a sector licence, whether one of your partners is a non-resident, whether you plan contributions in kind, or whether your shareholders agreement calls for specific clauses. Those belong in a conversation with a professional.

What incorporation actually costs

For a legal entity, SARL or EURL, the minimum observed on our 2026 files is around 118,610 DZD excluding share capital. That breaks down into at least 58,610 DZD of state fees (trade name 1,000 DZD, registry, stamps and company seal 20,000 DZD, articles and BOAL from 30,000 DZD, CNRC BOAL 7,610 DZD) plus support fees from 60,000 DZD.

For an individual, sole proprietorship or auto-entrepreneur, the minimum is around 75,000 DZD with no capital requirement. These are floors: articles and BOAL fees rise with the capital, the number of activity codes, the number of partners and the page count of the articles.

Share capital is not a fee, it is company treasury. On the SARL and EURL files we handle it starts at 100,000 DZD, one fifth released at incorporation and recovered by cheque once the trade register extract is issued.
