What is company creation in Algeria?

Creating a company in Algeria means giving a commercial activity a legal and tax existence. The process is framed by the Centre National du Registre du Commerce (CNRC) for registration, the Direction Générale des Impôts (DGI) for the NIF, and the social security funds (CASNOS or CNAS).

The choice of status, auto-entrepreneur, sole proprietorship, SARL, EURL, SPA, SNC, depends on your activity, the capital available, the number of partners and your tolerance to risk. Each structure carries its own tax, social and accounting obligations.

The 7 key steps of company creation

  • 1. Choose the legal status (auto-entrepreneur, SARL, EURL, sole proprietorship) according to your profile and activity.
  • 2. Reserve the company name with a negative certificate from the CNRC (Sijilcom). The arrêté of 31 October 2016 (JO n° 01 of 4 January 2017, art. 3) sets the issuing of any attestation or prior-name search at 800 DZD, and 700 DZD where payment is made electronically (art. 3 bis, added by the arrêté of 8 November 2020, JO n° 01 of 2 January 2021). No published text sets a validity period: the date that counts is the one written on the certificate.
  • 3. Draft the articles of association before a notary (for SARL/EURL) with the mandatory clauses: corporate purpose, capital, management, registered office.
  • 4. Publish the legal notice in the BOAL (Bulletin Officiel des Annonces Légales), a mandatory formality for companies.
  • 5. Deposit the share capital at the bank and obtain the blocking certificate. The amount has been freely set by the articles of association since Law 15-20 of 2015; 100 000 DZD remains the standard banks ask for a SARL.
  • 6. Register the company at the CNRC with the forms + notarized articles + negative certificate + proof of registered office. Décret exécutif n° 23-169 (art. 9) sets a three (3) day period for validating and confirming the registration request.
  • 7. Obtain the NIF from the tax office (DGI), then register with CASNOS (self-employed) or CNAS (employer of salaried staff).

Documents required for a SARL/EURL

  • Negative certificate for the company name (CNRC, Sijilcom).
  • Original notarized articles of association + copies.
  • Bank certificate confirming the share capital is blocked.
  • BOAL publication (proof of the legal notice).

Benefits and obligations after creation

  • Benefit: access to the financing schemes (NESDA/ANADE, ANGEM, public banks) reserved for formally registered companies.
  • Benefit: eligibility to apply for the Startup Label if the project is innovative. The IRG, IBS or IFU exemption runs for four (4) years from the grant of the label, extended by two (2) years where the label is renewed (art. 69 of the 2020 Finance Act, as worded by article 100 of the 2026 Finance Act).
  • Benefit: opening of a professional bank account, cheque book, business card, international transfers.
  • Obligation: keeping accounts (annual IBS balance sheet to be filed before 30 April).
  • Obligation: monthly G50 returns (VAT, IRG on salaries). The TAP is no longer on that list: article 14 of the 2024 Finance Act (loi 23-22, JO no. 86 of 31 December 2023) repealed articles 217 to 231 of the CIDTA, and its article 79 repealed or replaced, as the case may be, the references and cross-references to the taxe sur l'activité professionnelle with references to the taxe locale de solidarité. An ordinary company is outside the scope of that latter tax: article 231 bis of the CIDTA limits it to hydrocarbon transport by pipeline and mining activities.
  • Obligation: registration with CASNOS (self-employed managers) or CNAS (salaried managers + employees).
  • Obligation: annual declaration of salaries (DAS) if you hire.

Common mistakes to avoid

  • Underestimating the total budget, many people forget the notary + BOAL + domiciliation fees, which can exceed 100 000 DZD.
  • Choosing a company name without checking INAPI prior rights, a registered trademark prevails over a simple CNRC trade name.
  • Drafting articles of association that do not follow the expected notarized format, which exposes the file to rejection at the CNRC.
  • Failing to send the declaration of activity to CASNOS within the ten (10) days following the start of the activity: article 7 of loi 83-14 punishes a missing declaration with a penalty of 5 000 DA increased by 20 % for each month of delay.
  • Confusing SARL and EURL, a SARL left with a single partner must be converted into an EURL.
  • Ignoring prior sector authorizations (health, food, import) that can block the CNRC file.

Auto-entrepreneur or company: how to choose?

The auto-entrepreneur status suits individual activities with moderate turnover (under 5 million DZD in services, 10 million in resale trade). It applies a single flat tax (IFU) of 0.5 % of turnover for every activity (uniform since the 2024 Finance Act, art. 282sexies CIDTA) and exempts you from VAT.

A SARL or EURL becomes relevant as soon as you want to protect your personal assets, take on partners, raise funds, sign public contracts, or export. It requires full accounting and heavier tax and social charges.
