Creating your company in Algeria in 7 official steps

Creating a company in Algeria follows a relatively well marked administrative path since Sijilcom and Jibayatic were digitalised. This guide breaks the process down into 7 chronological steps with the real timelines, the costs and the traps to avoid at each stage.

For a SARL/EURL, count on 3 to 6 weeks of administrative formalities between the first visit to the notary and the effective start of activity.

Step 1: Choose the legal status

  • Auto-entrepreneur: individual activity, turnover under 5M DZD in services (or 10M in trade). No capital.
  • Sole proprietorship: traders, craftspeople and liberal professions, personal assets exposed.
  • EURL: a single partner, capital freely set by the articles of association since Law 15-20 of 2015; 100 000 DZD remains the standard banks ask for, limited liability.
  • SARL: 2 to 50 partners, the same capital rule as the EURL, the most flexible structure.
  • SPA: ambitious fundraising, capital of 1 000 000 DZD minimum, 5 000 000 in case of a public offering.

This step is the most strategic one, the right choice avoids a costly conversion later. Five main statuses exist in Algeria:

Step 2: Reserve the company name

The negative certificate guarantees that the trade name you chose is not already taken. The procedure is online on sidjilcom.cnrc.dz: submit 3 to 5 names in order of preference, the CNRC validates within 1 to 2 working days.

Cost: 800 DZD. Validity: 6 months, renewable once.

Tip: also check the INAPI database in case the name you want is already a registered trademark, intellectual property prevails over the trade register.

Step 3: Draft the articles of association (for a SARL/EURL)

The articles of association must be notarized for every company. Go to a notary with your negative certificate, the identity documents of the partners, and the draft corporate purpose.

Mandatory clauses in the articles: company name, legal form, registered office, purpose, duration, capital and its distribution between partners, management, terms for transferring shares, dissolution.

Step 4: Publish in the BOAL and deposit the capital

  • Publication in the Bulletin Officiel des Annonces Légales (BOAL): the official incorporation notice. CNRC BOAL: 7 610 DZD (included in the UpGrowth package). Timeline 1 to 2 weeks.
  • Deposit of the share capital at the bank (amount freely set, 100 000 DZD remains the standard banks ask for a SARL/EURL): blocked until CNRC registration. The bank issues a blocking certificate.
  • These two actions can be carried out in parallel to save time.

Step 5: CNRC registration

With the complete file (notarized articles, negative certificate, bank certificate, BOAL publication, identity documents, proof of registered office), file the registration application at the CNRC of your wilaya or through Sijilcom.

Timeline: 7 to 15 working days. Result: an extract from the trade register (RC) carrying your unique identification number.

Step 6: Obtaining the NIF from the DGI

With your CNRC trade register, go to your tax office (DGI) to request the NIF (Numéro d'Identification Fiscale). Documents: trade register, articles of association, proof of registered office, manager's national ID card.

Timeline: 7 to 15 working days. Free. The NIF conditions every later tax operation (invoicing, G50, IBS).

Step 7: Social registration with CASNOS or CNAS

  • Non-salaried manager of a SARL/EURL → CASNOS. Minimum annual contribution derived from the SNMG in force: 43 200 DZD per year (15 % × the 288 000 DZD base floor, décret exécutif 26-257). Auto-entrepreneur registered with ANAE → CASNOS under the special flat rate of 24 000 DZD per year (an exception reserved for auto-entrepreneurs, and the most common default choice).
  • Salaried manager + employees → CNAS (salaried workers). Employer contribution 26 % + employee contribution 9 % of the payroll.
  • Late penalty: 11 % from the 11th day, + 1 % per additional month.

  • Open the final professional bank account (the capital is released).
  • Order the company stamp.
  • Where relevant, obtain sector authorisations (food, health, import licences).
  • Start the accounting with a chartered accountant.
  • Begin commercial operations and invoicing.
  • First G50 return: end of the month following the first sales.
