Why Algeria for American investors

100% American ownership, no local partner

Outside strategic sectors (Executive Decree 21-145: energy and mining, pharmaceutical manufacturing, transport and transport infrastructure, defense) and pure import-for-resale, a US investor owns the Algerian company outright. Services, technology, production, construction and consulting are fully open to 100% foreign ownership.

Dividends home in USD

Law 22-18 Article 8 guarantees transfer of 100% of net dividends, capital gains and liquidation proceeds after IBS and the 15% withholding, provided the capital entered through the banking channel in convertible currency, foreign financing covers at least 25% of the investment cost, and the activity is not pure import-resale. Capital wired from a US bank in dollars satisfies the convertible-currency test cleanly.

You run it from the US

Algerian notaries and banks require in-person identification from the gerant, the resident legal manager, never from you as shareholder. With your own appointee or our nominee gerant (USD 600 per month), the notary authorization, provisional account, your capital wire and the power of attorney all proceed while you stay stateside.

A market the US is already invested in

Algeria is a long-standing US energy and trade partner, with a large domestic consumer base, a young population and an active push to diversify beyond hydrocarbons. That opens room for American technology, agribusiness and advisory firms beyond the traditional oil and gas footprint.

Sectors American investors pursue

  • Energy services and oilfield technology
  • Software, SaaS and IT services
  • Agriculture and agribusiness technology
  • Management and engineering consulting
  • Industrial production and equipment
  • Renewable energy and clean tech

The the United States connection

The United States is one of Algeria's most established trade partners, a relationship long anchored in the energy sector where American oilfield-services and equipment companies have operated for many years. Beyond hydrocarbons, US interest is widening into technology, agribusiness and professional services as Algeria diversifies its economy. A sizeable Algerian-American diaspora, concentrated in major metropolitan areas, adds a steady stream of founders and family investors who already understand both markets and use that dual fluency to build on the ground.

Tax treaty and repatriation

There is no bilateral income tax treaty between the United States and Algeria, so no treaty reduction is available: the standard 15% Algerian withholding applies to dividends paid to a US shareholder, on top of Algerian corporate tax (IBS) on the profit before distribution. Your capital and net dividends still transfer under the Law 22-18 Article 8 guarantee once the banking-channel and convertible-currency conditions are met. Foreign tax credit and US reporting questions, including whether the Algerian tax is creditable against your US liability, are for your US tax adviser. We confirm the exact figures per file.

Document legalization

From 9 July 2026 Algeria applies the Hague Apostille Convention, and the United States is a party to it. From that date a single apostille on your corporate documents (articles, board resolution, power of attorney, shareholder KYC) replaces the old consular legalization chain of notarization, foreign-ministry authentication and Algerian-embassy legalization. A sworn French translation produced in Algeria is required either way. We confirm the exact path for your documents and send the checklist and templates before you start.

You never travel: the resident-gerant workflow

Algerian banks and notaries require in-person identification, but from the gerant (the resident legal manager), not from you as shareholder. The whole incorporation runs through an Algerian-resident gerant:

  1. 1

The gerant obtains the notary authorization to open a provisional bank account.

  2. 2

You wire the share capital in USD or EUR to that account through the official banking channel; the bank issues the capital subscription certificate.

  3. 3

The gerant signs a power of attorney to UpGrowth, and we handle the statutes signing, legal publications, CNRC, tax IDs and social affiliations.

If you have your own Algerian appointee, perfect. If not, our nominee gerant service (USD 600 per month) provides the resident manager that unlocks the entire workflow while you keep full control as shareholder.
